Venable served as Maryland counsel to InfraREIT, Inc., a Maryland corporation that owns rate-regulated electric transmission and distribution assets in Texas (HIFR), in connection with its initial public offering of common stock and certain related reorganization transactions. HIFR offered 23,000,000 shares in the IPO (including the full exercise by the underwriters of their overallotment option) at an initial offering price to the public of $23.00 per share. HIFR, which is a real estate investment trust, is externally managed by Hunt Utility Services, LLC, an affiliate of Hunt Consolidated, Inc. based in Dallas and managed by the Ray L. Hunt family. Venable partners Jim Hanks and Sharon A. Kroupa led the firm's Corporate team, and received assistance from associates Brian P. Field and Nicholas J. Collevecchio.
