Max Bonici will be moderating a panel, “Bank Corporate Governance Guidelines and Enforcement Risk,” at the American Bar Association’s spring meeting in Orlando, Florida. The panel will discuss the corporate governance expectations that banking organizations and their directors face. It will specifically consider the FDIC proposed guidelines, the approaches of the other federal banking agencies, and how these expectations interact with general state corporate law, as well as bank regulatory considerations and other issues. The discussion will also include supervisory scrutiny and enforcement risk for banks, their affiliates and subsidiaries, and their third-party vendors, as well as personal liability for directors and other senior officers.
