Kirill Nikonov

Kirill Nikonov is an accomplished securities attorney primarily focusing on representing public companies in both capital market transactions and ongoing counseling. Kirill’s extensive experience includes advising on initial public offerings (IPOs), secondary equity offerings, public mergers and acquisitions (M&A), and proxy contests. In addition, he counsels publicly traded companies of all sizes across a variety of industries, assisting with complying with their obligations under the U.S. securities laws, including the preparation and review of Securities and Exchange Commission (SEC) filings; corporate governance matters; interactions with securityholders, national stock exchanges, and regulatory bodies; and other complex corporate and securities law matters.

Kirill also possesses exceptional knowledge of digital assets and blockchain. He consults on the structuring of token ecosystems and helps with token issuances, venture investments in digital securities, and NFT matters.

  • Represented Mobile Infrastructure Corporation, a parking asset owner, in connection with its business combination with Fifth Wall III, a special purpose acquisition company, at a post-money equity value of $550 million
  • Represented Avalon Acquisition, a special purpose acquisition company, in connection with a business combination with Beneficient Company Group, a leading alternative liquidity provider, at an implied enterprise value of $3.5 billion
  • Represented a Nasdaq Global Select Market electronics manufacturing services company in a registered offering of $400 million 6.000% Notes due 2028
  • Represented Second Sight Medical Products, a leading developer of implantable visual prosthetics, in its reverse acquisition of Nano Precision Medical, a biopharmaceutical business that develops miniaturized, subdermal drug implants, at an implied enterprise value of $285 million
  • Represented Ideanomics, a global electric vehicle company, in an $88.5 million registered at-the-market offering
  • Represented a global biosensor company in a $20 Regulation S entitlement offer
  • Represented AJP Holding Company in a strategic equity financing of $17.5 million in Sonim Technologies, a manufacturer of durable mobile devices
  • Represented Mechanism Capital, a venture investor in cryptographic assets, in various investment projects with an investment amount of approximately $100 million
  • Represented Inpixon, a developer of an indoor intelligence platform, in a $54.5 million registered offering of convertible preferred stock and in connection with its $150 million at-the-market public offering*
  • Represented Healthcare Triangle, a healthcare software provider, in connection with its $13 million initial public offering*
