Patrice Stavile

Patrice Stavile's practice involves diversified commercial real estate and leasing transactions, both in the United States and abroad. Patrice handles real property acquisitions, sales, and financings; corporate formations and joint ventures; retail, office, triple net, warehouse, and restaurant leases; leasehold condominium transactions; license and distribution agreements; debt and corporate restructuring; and real estate workouts. She has managed the liquidation of retail businesses in the United States, China, and other countries. Patrice has represented both lenders and borrowers in a wide range of loan transactions, including loans for individual residential development lots to complex loan restructurings. 

Patrice has negotiated air rights contracts and construction agreements, handled the acquisitions of condominium units, and worked on various residential matters.

Prior to joining Venable, Patrice was general counsel to M1 Real Estate and Façonnable USA. In that role, she handled real property, retail, and commercial transactions, and supervised litigations, tax audits, and outside counsel.

Representative Matters

  • Represented a private lender in a residential land development loan program, which involved creating the loan document program for loans of $5 million to $100 million
  • Represented a New York real estate owner in a portfolio-wide restructuring, which included the closing of a $33 million securitized mortgage loan on a New York City office building
  • Represented lenders in mortgage loan portfolio workouts
  • Represented a nonprofit entity in a $30 million secured loan and a $10 million line of credit, providing operating and capital funds and gap financing to cover government grant reimbursement periods
  • Represented an institutional lender in the restructuring of a $400 million loan and the repositioning of a NYC office building subject to a master lease and development agreement
  • Represented a major food distributor in the negotiation of a 400,000 square foot warehouse lease, which constituted the largest lease in South Florida in 2023
  • Represented an Italian luxury menswear brand, in the expansion of its retail operations, including the negotiation of a new retail lease in Palm Beach, Florida and a concession agreement with a major retailer in New York City
  • Represented New York State government agencies in 100,000+ rsf leases and leasehold condominium transactions
  • Represented a fashion brand in the disposition of its assets
  • Represented nonprofit entities in the negotiation of office leases and subleases for their corporate headquarters in midtown Manhattan, including leasehold condominium transactions
  • Represented an Italian food company in the negotiation of its first two U.S. restaurant leases in Colorado
  • Representing The Studio Museum in Harlem as real estate counsel in the negotiation of a commercial leasing of space for administrative offices and art storage warehouse, with PILOT programs
  • Represented the United States Tennis Association in real estate matters, including the sale of its office building and two office subleases, a license agreement, and a transportation agreement
  • Represented a private entity in a Hudson Yards office lease
  • Represented landlords of units in a condominium structure in the negotiation of office leases 
  • Represented a private school in the sale of its building, 1031 tax exchange, and other investments in real property
