Philip von Mehren routinely negotiates U.S.-based and cross-border acquisitions, strategic partnerships, and dispositions for strategic and financial clients. In particular, Philip has extensive experience in Latin American and Asian transactions. He has also advised governments on legislative initiatives, including the privatization of telecommunication and petrochemical assets. Philip has managed numerous transactions individually valued in excess of a billion dollars. He serves clients in countless sectors but has particular experience with industrial and financial services clients and franchises.

Outside of his legal practice, Philip has contributed articles to numerous publications covering private investment and cross-border legal representation issues. He authored the book "Cross-Border Trade and Investment with Mexico: NAFTA's New Rules of the Game," an in-depth study of the impact of the North American Free Trade Agreement (NAFTA) on Mexico's economic development and trade laws. He has also lectured on investment into Mexico at Harvard Law School, New York University School of Law, and Fordham Law School.

Representative Matters

  • Represented Canada-based online dating site, PlentyOfFish Media, Inc. in its $575 million sale to the Match Group, a subsidiary of IAC (NASDAQ: IACI). Mr. von Mehren and team recently won the "Technology Deal of the Year Award" from The Association for Corporate Growth (ACG) New York for their role on the deal
  • Represented shareholders of Pequeño Caesarmex in the sale of more than 200 Little Caesars restaurants in Mexico, the Dominican Republic, Puerto Rico, and Colombia
  • Represented Keywords Studios Plc, an international technical services provider to the global video gaming industry, in its $66.4 million acquisition of the outstanding shares of VMC Consulting Corporation and Volt Canada Inc. 
  • Represented a Korean-owned subsidiary in the combination of its majority-owned subsidiary with a U.S.-based telecommunications company in a stock-for-stock transaction, which included the Korean parent agreeing to become a subordinated lender to the U.S. entity
  • Represented a public U.S.-based phone company in the multi-billion-dollar purchase of a non-U.S.-based phone company
  • Represented a U.S.-based private equity fund in the leveraged buyout (LBO) of a portfolio company in the machining industry with significant operations in the United States, France, Germany, and Sweden
  • Represented a U.S.-based private equity fund in the purchase and sale of portfolio companies, including advice regarding acquisition by a holding company (created on behalf of financial buyers and managers) of a controlling interest in an oil and gas service corporation based in Houston
  • Represented a private equity fund in an LBO transaction in which it acquired an extruder company with U.S. and overseas operations
  • Represented private equity funds with a Latin American focus in offshore and onshore aspects of transactions in Mexico, Brazil, Venezuela, Colombia, Argentina, and Chile
