Andrew Schmerzler


Andy Schmerzler, a business lawyer with nearly 30 years of experience, is a partner in Venable's Real Estate Group. His real estate practice focuses primarily on the acquisition, disposition, leasing, and financing of retail centers, office buildings, movie studios, multi-family and single-family residential developments, mixed-use developments, movie theaters, amusement parks, restaurants, and industrial locations for institutional and individual clients.

Andy also has extensive experience in counseling private and public companies in diverse industries, with a particular emphasis on the entertainment, motion picture exhibition, and professional services industries. He has significant experience in mergers and acquisitions, complex joint ventures, equity and debt financing transactions, intellectual property acquisitions, licensing and financing, employment, consulting, and stock option agreements.

Significant Matters

  • Represented a movie studio in numerous transactions, including the acquisition, leasing, and sale of studio and related office facilities in the U.S., the sale of its amusement park in Germany, and its retail leasing operations.
  • Represented a real estate investment fund and investment advisor in the acquisition and sale of numerous assets in the western U.S., including office buildings, multi-family residential developments, and mixed-use developments, for an aggregate transaction value in excess of $750 million.
  • Represented an investment bank with the initial closing, servicing, and/or "work out" of numerous debt and equity financings of residential and golf course developments in southern California and Nevada.
  • Represented motion picture theater exhibitors in the acquisition, leasing, development, and disposition of movie theaters and movie theater chains, including with respect to the acquisition of what at the time was the highest-grossing theater in the U.S. and the disposition of the iconic Grauman's Chinese Theatre in Hollywood.
  • Represented a national residential homebuilder in the acquisition of numerous projects in the western U.S., and the negotiation of complex joint ventures with their development partners.
  • Represented the operator of a major entertainment retail center on the Las Vegas Strip in ground leasing and space leasing matters.
  • Represented a regional residential homebuilder in Georgia and South Carolina in the sale of its business.
  • Represented purchasers and sellers of professional and entertainment services and consumer product and technology companies.
  • Represented motion picture theater owners, specialty retailers, and restaurant operators in the negotiation of numerous management agreements and leases for space at a variety of locations.
  • Represented a number of companies as "outside" general counsel, including one of the largest entertainment marketing companies in Los Angeles.


Andy currently serves as the hiring partner for Venable's Los Angeles office, as well as chairman of the Hiring Committee for Venable's Los Angeles office.

Andy also previously served on the board of directors of The Wonder of Reading, a nonprofit organization committed to advancing children's literacy in Los Angeles public elementary schools, and on the board of trustees of Echo Horizon School, an independent elementary school located in Culver City, California.
