Venable recently assisted EMZ Partners, a leading European private equity/investment firm, in connection with the sale of a majority steak in its portfolio company, FotoFinder Systems, to GHO Capital, a European specialist investor in the healthcare space. In connection with the transaction, EMZ and the management team will remain minority investors in FotoFinder. The transaction is expected to close in the near term, subject to regulatory approvals. Financial terms of the transaction were not disclosed.
This is Venable’s second transaction involving FotoFinder, a global market leader in analog and digital dermatoscopes, total body photography systems, and diagnostic software/AI for skin cancer detection and dermatology. In early 2024, Venable represented EMZ/FotoFinder in its bolt-on acquisition of DermLite, LLC, a California-based hand-held dermatoscope manufacturer.
The Venable team was led by Thomas E. (Ted) Keim, Jr., Friedemann Thomma, and Audrey Distler, with assistance from Maggie Risinger, Justin Benham, Harry Atlas, Ryann Aaron, Teresa Biviano, Chris Kim, Kristen Ruisi, Paul Feinstein, Ashley Craig, Ashley Luong, and Steven Yin. As with the prior transaction, Venable was co-counsel with Lupp + Partner, a top-tier German corporate transactional firm. Houlihan Lokey served as financial advisor to EMZ.
