Frank A. Ciatto


Frank Ciatto helps entrepreneurs succeed in new and existing business ventures.  His legal knowledge and practical experience help ensure that owners and investors realize the full value of their ideas and investments.

With over 20 years' experience launching new ventures, Frank focuses on corporate and partnership structuring, mergers and acquisitions, limited liability companies, private equity investments, tax and accounting issues, business divorces and succession planning.

In addition to his legal skills, Frank is a Certified Public Accountant, formerly with Coopers & Lybrand (now PricewaterhouseCoopers) in New York—experience he often uses to add value to his clients’ transactions.

He serves as corporate counsel to entrepreneurs and individual investors in a number of industries, including hedge funds, financial services providers, auto dealerships, publishing, securities companies, professional consulting firms, software and technology providers, hospitality, law firms and other professional service providers.

Frank has recently represented clients in a wide range of transactions, acting as:
  • counsel for DOAR Consulting, a trial strategy consulting firm, in a management buyout of private equity interests
  • purchaser’s counsel for SAGE Publications, Inc. in the sale of the assets of its CQ Press imprint “First Street” and “Professional Directories” business lines to Leadership Directories, Inc.
  • purchaser’s counsel for iMapData Inc. (“iMapData”), a decision support solution company that serves the government and commercial markets, in a private equity investment by Frontier Capital Fund III, L.P., a North Carolina-based middle-market private equity firm.
  • company counsel in the private equity investment in The Conifer Group, LLC;
  • purchaser's counsel in the redemption of a majority of the stock of the founder of CHL Business Interiors;
  • seller's counsel in the sale of CTS Services, LLC;
  • seller's counsel in the sale of a major security-systems firm, Kastle Holding LLC, the owner of Kastle Systems International LLC, in the sale of the Kastle Security Systems;
  • counsel in the bankruptcy sale of the foreign and domestic assets of USA Floral, Inc. to ACON Investments, LLC; and
  • counsel to a leading operator of food and beverage brands in travel locations worldwide in licensing, franchising, joint venture, real estate and IP matters.

Frank frequently assists clients by drafting and negotiating key business documents, such as:  limited liability company agreements, partnership agreements, stockholders agreements, executive employment agreements, severance agreements, stock-option plans and grant agreements and other corporate agreements.


Frank formerly served as the Hiring Partner of Venable's Washington, DC office and is a member of the Firm's New York Expansion Committee.

After serving in various capacities on the Board of Governors of the Georgetown University Alumni Association since 2003, Frank was elected in 2014 and recently re-elected Treasurer of the Georgetown University Alumni Association. The Board of Governors is the governing body for all undergraduate and graduate schools of Georgetown University. He previously served as a member of the Executive Committee and as the Chair of the Class Advancement Committee and Awards Committee. Frank was recently awarded the James P. Reed Alumni Award for distinguished service to the Georgetown University Alumni Board of Governors.

Frank currently serves as Communications Chair of his undergraduate class at Georgetown University.

Until recently when the sporting activities of his three daughters took precedence, Frank played in the Maryland division of the Ponce de Leon 30-and-Over Baseball League.  He is now coaching his daughters' softball and basketball teams.

Frank co-teaches a summer class called Ethics & Leadership for the Fund for American Studies at George Mason University.
