William T. Russell

Bill Russell focuses his practice in the areas of technology transactions, intellectual property and general corporate law, with a particular emphasis on outsourcing, licensing and distribution, joint ventures/strategic alliances, supply management and other complex commercial transactions.

He has extensive experience drafting and negotiating a broad range of agreements involving technology transactions, business process outsourcing (BPO), IT outsourcing, software licensing and development, software as a service (SaaS), cloud computing, technology collaboration, manufacturing and supply, medical device development and distribution, patent licensing, consulting services, content licensing, co-branding, web hosting and e-commerce initiatives.

Bill also counsels clients on copyright, trademark and other IP matters, including technology assignments and transfers, and serves as special IP/Technology counsel during the purchase, integration and divestiture of businesses and product lines.

His clients range from emerging growth companies to multinational Fortune 500 corporations spanning various industries, including IT/Software, Hospitality and Lodging, Energy, Petrochemicals, Industrial Controls, Consumer Products, Medical Devices, Pharmaceuticals, and Financial Services.

Bill is also a certified public accountant.

Technology and Commercial Transactions
  • Regularly advises one of the world's largest multinational conglomerates in structuring and negotiating complex technology-driven deals in support of their core Oil & Gas, Digital Solutions and Global Operations businesses, including joint product development deals, Internet of Things (IOT) deals, global distribution arrangements, technology and patent licenses, strategic alliance and joint venture agreements, software licensing and SaaS/cloud deals.
  • Serves as outside general technology and sourcing counsel to one of the world's largest hospitality companies, including advising on software license, development and support agreements, SaaS agreements, central reservation system and property management system agreements, product supply agreements, professional services agreements, and a variety of collaboration and marketing agreements.
  • Serves as outside general technology counsel to one of the world's largest petrochemical companies, including advising on technology license agreements, technical service agreements, university research agreements, joint development agreements, joint venture agreements, R&D agreements, and strategic alliance agreements.
  • Represented a multinational apparel retailer in implementing a global ERP solution for managing inventory and product mix allocation throughout the United States, Europe and Asia.
  • Represented an emerging growth e-learning company in structuring and organizing a consortium of public school systems and technology providers for the development of a common platform for electronic standardized scholastic testing programs.
  • Represented a leading-edge telecom company in assembling its IP telephony-based communications infrastructure, including a $500 million agreement to purchase state-of-the-art switching systems.
  • Served as outside counsel to a consortium of leading telecommunications equipment and service providers for the development of uniform technology standards in the VOIP telephony industry.
  • Represented a Big 3 auto manufacturer in structuring and negotiating e-commerce initiatives, including multimillion dollar strategic alliances with affinity sites for exclusive automobile sponsorship placements.

  • Has represented one of the world's leading global technology and outsourcing service providers for over 10 years in structuring and negotiating numerous deals for outsourced services, including F&A, ADM/IT, staff augmentation, procurement, R&D, e-learning and HR operations.
  • Represents buyers and suppliers of real estate outsourcing services, including facilities management, transaction management, lease administration and project management operations.
  • Represented one of the nation's largest energy utility companies in an array of strategic IT and business process outsourcing initiatives, including outsourcing their core HR operations as well as IT applications development, maintenance and infrastructure support operations.
  • Represented one of the world's largest hotel and hospitality companies in outsourcing its global central reservation system.
  • Represented a global telecommunications equipment manufacturer in an agreement to outsource the manufacturing, logistics and warehousing of its core product line.

Medical Devices/Pharmaceuticals
  • Represents the world's leading provider of transformational medical technologies in its acquisition, commercialization and global distribution of state-of-the art medical imaging, diagnostics and patient monitoring products, including a strategic alliance to develop and distribute next generation home healthcare products.
  • Represented the world's largest biopharmaceutical company in its divesture of various animal health products, including the negotiation of manufacturing agreements for the cross-supply of pharmaceutical and biological products.
  • Represented a Norwegian-based medical device manufacturer in introducing its line of ultrasound peripheral products to the U.S. market, including structuring and negotiating an exclusive distribution agreement with a U.S.-based distributor.
